Delayed payments may result in the suspension of project work and subsequent delays in final delivery. VoidPixsel reserves the right to withhold final deliverables, source code, or launch rights until all outstanding invoices are settled.

8. Third Party Services

VoidPixsel is not liable for outages, data loss, or performance issues caused by third-party platforms, including but not limited to Shopify, Meta (Facebook/Instagram), Google, hosting providers, or any other external API/service.

Unless explicitly included in our proposal, the purchase, renewal, and management of web hosting, domain names, and third-party software licenses remain the sole responsibility of the client.

9. Limitation of Liability

To the maximum extent permitted by applicable law, VoidPixsel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

In no event shall VoidPixsel's aggregate liability for all claims related to a project exceed the total amounts actually paid by the client to VoidPixsel for the specific service giving rise to the claim during the six (6) months preceding the claim.

10. Force Majeure

Neither party shall be liable for any failure or delay in performance under these terms (other than for delay in the payment of money due and payable hereunder) for causes beyond that party's reasonable control and occurring without that party's fault or negligence, including, but not limited to, acts of God, acts of government, flood, fire, civil unrest, acts of terror, strikes or other labor problems, computer attacks or malicious acts, such as attacks on or through the Internet, any Internet service provider, telecommunications or hosting facility.

11. Confidentiality

Both parties agree to keep confidential all non-public information concerning the other party's business, technology, and financial affairs that is designated as confidential or reasonably should be understood to be confidential. This obligation survives the termination of any agreement.

12. Termination

VoidPixsel reserves the right to terminate or suspend access to our services or ongoing projects immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions. Upon termination, your right to use the website will immediately cease.

13. Governing Law & Jurisdiction

These Terms and Conditions shall be governed and construed in accordance with the laws of India. Any disputes arising from or in connection with these terms, or any project executed by VoidPixsel, shall be subject to the exclusive jurisdiction of the courts located in Mumbai/Mumbai, Maharashtra.
